1. Orders and Acceptance

All quotations, estimates, and proposals issued by UV Solutions, LLC are non-binding and subject to change.

Orders are not binding until accepted in writing by UV Solutions, LLC or fulfilled by shipment. Customer purchase orders are accepted subject to these Terms and Conditions.

2. Pricing and Payment Terms

Prices are subject to change without notice unless otherwise agreed in writing.

Standard payment terms are Net 30 days from invoice date unless otherwise specified. UV Solutions, LLC reserves the right to require advance payment or modify credit terms.

Late payments may result in suspension of shipments and may be subject to interest charges.

    3. Shipping and Delivery

    Unless otherwise agreed in writing, all shipments are made Ex Works (EXW) Bethel, Connecticut, (Incoterms® 2020).

    Risk of loss and title transfer to the customer at the point of shipment. The customer is responsible for:

    • Freight arrangements
    • Insurance
    • Import duties, taxes, and customs compliance

    Shipping dates are estimates only and are not guaranteed.

      4. Lead Times

      Quoted lead times are estimates based on current conditions and may vary due to material availability, production scheduling, or other factors beyond UV Solutions’ control.

        5. Product Use and Application Responsibility

        UV Solutions, LLC products are designed for industrial use. The customer is solely responsible for determining the suitability of products for their specific application, including:

        • Process validation
        • Compatibility with substrates and materials
        • Regulatory compliance

        Any technical guidance or recommendations provided are for informational purposes only and do not constitute a guarantee of performance.

        6. Adhesives Disclaimer

        UV-curable adhesives are highly application-dependent. Performance may vary based on:

        • Substrate materials
        • Surface preparation
        • Cure conditions (intensity, wavelength, time)
        • Environmental factors

        UV Solutions, LLC makes no guarantee of performance in a customer’s specific application without validation testing conducted by the customer.

        7. Warranty – Equipment

        UV Solutions, LLC warrants that its equipment products will be free from defects in materials and workmanship under normal use for a limited period from the date of shipment.

        This warranty does not apply to:

        • Consumables (including adhesives)
        • Batteries and external accessories
        • Misuse, improper installation, or operation
        • Unauthorized modification or repair

          8. Limitation of Liability

          To the maximum extent permitted by law, UV Solutions, LLC shall not be liable for any indirect, incidental, or consequential damages, including but not limited to:

          • Loss of production
          • Downtime
          • Loss of profits
          • Product failure in customer applications

          UV Solutions’ total liability shall not exceed the purchase price of the product supplied.

              9. Returns and Cancellations

              All returns and cancellations require prior written approval.

              Approved returns may be subject to:

              • Restocking fees
              • Inspection and condition requirements

              Custom or special-order products may not be returnable.

                10. Compliance and Regulatory Responsibility

                Customers are responsible for ensuring compliance with all applicable laws and regulations related to the use, handling, storage, and disposal of products, including but not limited to:

                • OSHA / workplace safety
                • REACH and RoHS (where applicable)
                • Environmental and waste regulations

                    11. Lithium Battery and Hazardous Goods

                    Certain products may contain lithium-ion batteries or be classified as hazardous for transport.

                    The customer is responsible for:

                    • Compliance with applicable shipping regulations (e.g., IATA, DOT)
                    • Proper handling and storage

                    UV Solutions, LLC provides information to the best of its knowledge but assumes no responsibility for regulatory compliance by the customer.

                      12. Export Control

                      Products supplied may be subject to U.S. export control laws. The customer agrees to comply with all applicable export regulations and not to export or re-export products in violation of such laws.

                        p

                        13. Force Majeure

                        UV Solutions, LLC shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to:

                        • Supply chain disruptions
                        • Natural disasters
                        • Labor shortages
                        • Government actions

                          14. Governing Law

                          These Terms and Conditions shall be governed by the laws of the State of Connecticut, USA, without regard to conflict of law principles.

                            15. Entire Agreement

                            These Terms and Conditions constitute the entire agreement governing the sale of products unless otherwise agreed in writing by UV Solutions.
